Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the https://scalesuite.ai website operated by ScaleSuite, LLC (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

Subscriptions

Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis depending on the agreement set forth prior to engaging.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel or we cancel it. You may cancel your Subscription renewal by contacting ScaleSuite, LLC at our email contact@scalesuite.ai.

A valid payment method is required to process the payment for your Subscription. You shall provide us with accurate and complete billing information including full name, billing address, state, zip code, phone number. By submitting such payment information, you authorize us to charge all Subscription fees incurred through your account without prior notification.

If automatic billing fails, we will issue an electronic invoice indicating that you must initiate payment in-full manually, within a certain deadline date defined on the invoice.

Subscriptions: Free Trial

We may, at our sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”).

You may be required to enter your billing information in order to sign up for the Free Trial. You will not be charged by us until the Free Trial has expired. On the last day of the Free Trial period, unless cancelled, you will be automatically charged the applicable Subscription fees for your respective type of Subscription.

Subscriptions: Fee Changes

We may, in our sole discretion at any time, modify the Subscription fees for Subscriptions. Any Subscription fee changes will become effective at the end of the then-current Billing Cycle.

We will provide you with prior notice of at least 7 days of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Subscription after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Subscriptions: Refund Policy

Except when required by law, paid Subscription fees are non-refundable.

Subscriptions: Termination

We may terminate or suspend your Subscription immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.

If you wish to terminate your Subscription, you may do so at any time. Send an email to contact@scalesuite.ai.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Subscriptions: Indemnification

You agree to defend, indemnify and hold harmless ScaleSuite, LLC and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Subscription, by you or any person on your behalf, or b) a breach of these Terms.

Subscriptions: Limitation Of Liability

In no event shall ScaleSuite, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from

(i) your access to or use of or inability to access or use the Subscription;

(ii) any conduct or content of any third party in relation to the Subscription;

(iii) any content obtained from the Subscription;

and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your use of the Subscription is at your sole risk. The Subscription is provided on an “AS IS” and “AS AVAILABLE” basis. The Subscription is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

ScaleSuite, LLC and its subsidiaries, affiliates, and its licensors do not warrant that

a) the Subscription will function uninterrupted, secure or available at any particular time or location;

b) any errors or defects will be corrected;

c) the Subscription is free of viruses or other harmful components;

or d) the results of using the Subscription will meet your requirements.

Subscriptions: Earnings Disclaimer

We strive to present an accurate depiction of the products and services reviewed on our site, along with their potential to generate income. It’s important to understand that the income projections made by ScaleSuite, LLC and its advertisers are estimated figures based on our predictions. These Terms constitute the entire agreement between us regarding our Subscription, and supersede and replace any prior agreements we might have had between us regarding the Subscription.

Projects

Some parts of the Service are billed on a one-time basis (“Projects”). Projects will be kicked off with a signed agreement through the utilization of a third-party eSign provider. All projects are bounded by the signed agreement and terms are within said agreement. Additional terms and information are provided on this page.

Projects: Refund Policy

Except when required by clauses within Project agreements, paid Project fees are non-refundable unless otherwise required by law.

Projects: Termination

We may terminate or suspend your Project immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.

If you wish to terminate your Project, you may do so at any time. Send an email to contact@scalesuite.ai. Termination does not constitute a refund.

Projects may require the services of third-party vendors. Each vendor has their own policies. It is your responsibility to read those policies and abide by them.

Projects: Third-Party Subscription Renewals

Projects may require subscriptions from third-party vendors. Typically, these subscriptions renew on a monthly or annual basis. We are not responsible for the payment of these services. If we are unintentionally charged for a service related to your account, we reserve the right to invoice you for said amount.

The table below features services we commonly configure for our clients and their respective renewal frequency. If we configure a separate service not listed on the table below, we will verbally notify you about its renewal frequency.

Advertising Service

One of our flagship services is our Advertising Service (“Ad Service”, “DFY Ads”, “Done-For-You Ads”). Through this service, we will gather Leads (“Leads”, “Engaged Leads”, “Interested Buyers”, “Potential Buyers”) for you and you will be billed according to specific terms.

We may use the following platforms to get Leads: LinkedIn, Google Search, YouTube, Facebook/Meta.

Advertising Service: Intellectual Property

The Advertising Service and its original content, features and functionality are and will remain the exclusive property of ScaleSuite, LLC and its licensors. The Advertising Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ScaleSuite, LLC.

Advertising Service: Fee Changes

We may, in our sole discretion at any time, modify the Ad Service fees. Any Ad Service fee changes will become effective immediately after the notice period.

We will provide you with prior notice of at least 7 days of any change in Ad Service fees to give you an opportunity to terminate your Ad Service before such change becomes effective.

Your continued use of the Ad Service after the Ad Service fee change comes into effect constitutes your agreement to pay the modified Ad Service fee amount.

Advertising Service: Billing

Our Advertising service follows specific billing practices.

You will be billed according to specific events. Read the below events carefully.

Advertising Service: Billing Event #1: Lead Event

A Lead Event is defined as one or more of the following originating from our efforts:

You receive a Name and Email Address of a person who opted-in.
You receive a Name and Phone Number of a person who opted-in.
You receive a Name, Email Address, and Phone Number of a person who opted-in.
You receive a booked appointment from a person who opted-in.

When one of the above events occurs, you will be billed automatically via a payment method on-file. The amount charged per Lead Event will be predetermined and explicitly stated in writing. This writing may be via email correspondence, SMS messages, or other form of written communication. These payments are not refundable.

Advertising Service: Billing Event #2: Show Event

A Show Event is defined as one or more of the following, originating from a Lead Event:

A person with information matching the Name and Email Address of a previously submitted Lead Event steps into your physical business location or connects with your business (Voice Call, Video Call, Subscription Enrollment, Free Trial Enrollment).
A person with information matching the Name and Phone Number of a previously submitted Lead Event into your physical business location or connects with your business (Voice Call, Video Call, Subscription Enrollment, Free Trial Enrollment).
A person with information matching the Name, Email Address, and Phone Number of a previously submitted Lead Event steps into your physical business location or connects with your business (Voice Call, Video Call, Subscription Enrollment, Free Trial Enrollment).

When one of the above events occurs, you will be billed automatically via a payment method on-file. The amount charged per Show Event will be predetermined and explicitly stated in writing. This writing may be via email correspondence, SMS messages, or other form of written communication. These payments are not refundable.

You must notify us within 7 days of a Show Event. If a Show Event occurs and we are not explicitly informed, your payment method on file will be charged a $1,000 Deception Fee. It is vitally important that you and ScaleSuite hold an open pipeline of communication.

Advertising Service: Billing Event #3: Close Event

A Close Event is defined as one or more of the following, originating from a Show Event:

A person with information matching the Name and Email Address of a Lead Event who also performed a Show Event makes a purchase from your business.
A person with information matching the Name and Phone Number of a Lead Event who also performed a Show Event makes a purchase from your business.
A person with information matching the Name, Email Address, and Phone Number of a Lead Event who also performed a Show Event makes a purchase from your business.

When one of the above events occurs, you will be billed automatically via a payment method on-file. The amount charged per Close Event will be predetermined and explicitly stated in writing. This writing may be via email correspondence, SMS messages, or other form of written communication. These payments are not refundable.

You must notify us within 7 days of a Close Event. If a Close Event occurs and we are not explicitly informed, your payment method on file will be charged a $1,000 Deception Fee. It is vitally important that you and ScaleSuite hold an open pipeline of communication.
